Terms of Service

These Terms of Service ("Terms") govern your use of Bed Tally ("Platform," "we," "us," or "our"). By accessing or using the Platform, you agree to these Terms.

1. Intended Use

The Platform is designed for residential care providers, including Adult Foster Care (AFC) homes, to manage internal operations and receive referral inquiries.

The Platform is not:

  • A medical device
  • A clinical record system
  • A healthcare provider
  • A placement agency
  • An emergency service

2. No Medical or Placement Advice

We do not:

  • Make medical recommendations
  • Determine clinical appropriateness
  • Place residents
  • Guarantee admissions or outcomes

All placement decisions are made solely by participating homes and referral sources.

3. Not Emergency Services

The Platform is not intended for emergencies.

If there is an emergency or immediate risk, call 911 or local emergency services.

4. User Responsibilities

You agree to:

  • Provide accurate information
  • Use the Platform only for lawful purposes
  • Upload only information necessary for placement or daily care coordination

Not upload:

  • Social Security numbers
  • Insurance member IDs
  • Full medical records
  • Sensitive personal data not relevant to care

You are responsible for the content you submit.

5. Data Ownership

You retain ownership of the information you submit.

You grant us a limited license to store and process data solely to operate the Platform.

6. HIPAA Notice (Important)

The Platform is not currently a HIPAA-compliant service.

Bed Tally does not currently act as a Business Associate and does not currently sign Business Associate Agreements (BAAs). BAA capability is on our roadmap; until we provide written confirmation that a BAA has been executed with you, you must not upload, enter, or transmit Protected Health Information (PHI) through the Platform.

We will update this section if and when our HIPAA posture changes.

7. Security

We use reasonable administrative, technical, and organizational safeguards to protect data, including:

  • Encryption
  • Access controls
  • Audit logging

No system is 100% secure, and use of the Platform is at your own risk.

8. Availability & Modifications

We may:

  • Modify or discontinue features
  • Update these Terms
  • Change pricing or offerings

We will provide reasonable notice of material changes.

9. Limitation of Liability

To the maximum extent permitted by law:

  • We are not liable for indirect, incidental, or consequential damages
  • We are not responsible for placement outcomes, admissions, or care quality

10. Termination

We may suspend or terminate access for violations of these Terms.

You may stop using the Platform at any time.

11. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.
